The "Finality" Rule of IP
Full ownership of final custom code and visual designs transfers to the client only upon 100% satisfaction of the final invoice.
Methodology Protection
Syntheos Digital retains exclusive ownership of its internal “Protocols,” “Blueprints,” and “Proprietary Workflows”. The client is purchasing the “Result” (The Asset), not the “Factory” (The Methodology).
Errors & Omissions (E&O) Shield:
We perform all builds according to prevailing industry standards. Clients have a 30-day “Technical Warranty” post-launch to report bugs. After 30 days, all technical support is billed at $150/hr.
Limitation of Liability
Total liability for any error, omission, or downtime is strictly capped at the total amount paid by the client for that specific service. We are not liable for consequential damages or lost profits.
Platform Guardrails
We are not liable for revenue loss resulting from third-party platform shifts, including Google algorithm updates, Meta ad account bans, or hosting provider failures.
Governing Law
All disputes are subject to binding arbitration in the State of New York. Clients explicitly waive their right to a class-action lawsuit.
